1. Acceptance of Terms<\/h2>

By choosing to use DIVVI payment or financing options to pay for dental treatment at The Clinic, the patient (“you<\/strong>” or “Patient<\/strong>“) acknowledges and agrees to be legally bound by these Terms and Conditions (“Terms<\/strong>“). If you do not agree with these Terms, you must choose an alternative payment method. Your acceptance is confirmed by checking the acknowledgment box provided on the website.<\/p>

2. Definitions<\/h2>
  • DIVVI:<\/strong> The cloud\u2010based platform that aggregates multiple third\u2011party payment and consumer\u2011financing providers (e.g., Klarna, Affirm, Afterpay, Cash App, Apple\u00a0Pay, Google\u00a0Pay) (collectively, “Financing\u00a0Providers<\/strong>“).<\/li>
  • Financing Agreement:<\/strong> Any agreement, promissory note, installment contract, or similar arrangement you enter into directly with a Financing Provider.

    3. Nature of The Clinic\u2019s Role<\/h2>

    The Clinic facilitates access to DIVVI solely for the convenience of its patients. The Clinic is not a lender, credit broker, payment processor, or agent of DIVVI or any Financing Provider.<\/strong> The Clinic does not receive, hold, or transmit patient funds and does not determine eligibility, credit terms, interest rates, fees, or repayment schedules.<\/p>

    4. Third\u2011Party Financing Providers<\/h2>

    All financing or payment transactions are exclusively between you and the selected Financing Provider. Your use of any Financing Provider is governed by that provider\u2019s separate terms, conditions, disclosures, and privacy policies. The Clinic makes no representation or warranty regarding any Financing Provider\u2019s products, services, credit decisions, or compliance.<\/strong><\/p>

    5. Patient Responsibilities<\/h2>
    1. Due Diligence:<\/strong> Review and understand the terms presented by the Financing Provider before accepting any offer.<\/li>
    2. Accuracy of Information:<\/strong> Provide accurate, current, and complete personal and financial information to DIVVI and the Financing Provider.<\/li>
    3. Repayment:<\/strong> Make all payments in accordance with your Financing Agreement, regardless of treatment outcomes.<\/li><\/ol>

      6. No Guarantee of Approval<\/h2>

      Approval for financing is determined exclusively by the Financing Provider. The Clinic does not guarantee that you will be approved, nor does it influence credit decisions.<\/strong><\/p>

      7. Fees and Charges<\/h2>

      The Clinic does not charge additional fees for making DIVVI available. However, Financing Providers may impose interest, fees, penalties, or other charges. You are solely responsible for all such amounts.<\/strong><\/p>

      8. Limitation of Liability<\/h2>

      To the maximum extent permitted by law, The Clinic shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to your use of DIVVI or any Financing Provider, including but not limited to credit denials, payment processing errors, financing costs, or disputes.<\/strong><\/p>

      9. Indemnification<\/h2>

      You agree to indemnify, defend, and hold harmless The Clinic, its owners, officers, employees, and agents from and against any claims, losses, damages, liabilities, costs, or expenses (including attorneys\u2019 fees) arising out of or relating to your use of DIVVI or any Financing Provider.<\/p>

      10. Dispute Resolution<\/h2>

      Any dispute, claim, or controversy arising out of or relating to these Terms or the use of DIVVI shall first be addressed through good\u2011faith negotiations between you and The Clinic. If unresolved, the dispute shall be submitted to binding arbitration in the state where The Clinic is located, in accordance with the rules of the American Arbitration Association. You waive the right to participate in any class or representative proceeding.<\/strong><\/p>

      11. Governing Law<\/h2>

      These Terms shall be governed by and construed in accordance with the laws of the State in which The Clinic operates, without regard to its conflicts\u2011of\u2011law principles.<\/p>

      12. Severability<\/h2>

      If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.<\/p>

      13. Modification of Terms<\/h2>

      The Clinic reserves the right to modify these Terms at any time. Updated Terms will be posted or provided upon request and will apply to all transactions initiated after the Effective Date of the revised Terms.<\/p>
